AGB’s RoseKin – German ( English below )
1. Allgemeines:
Die folgenden Allgemeinen Geschäftsbedingungen (AGB) werden durch die Erteilung eines Auftrages für die Vertragspartnerin bzw den Vertragspartner verbindlich. Die AGB gelten für alle Verträge, Lieferungen sowie anderen Leistungen zwischen RoseKin GmbH, Richterswil, Schweiz
(Nachfolgend RoseKin GmbH genannt) und den Vertragspartnern (jede natürliche und juristische Person die mit RoseKin GmbH eine geschäftliche Beziehungen eingeht).
Geschäftsbedingungen des Bestellers, die diesen Geschäftsbedingen widersprechen oder von einer gesetzlichen Regelung abweichen, gelten nur, wenn dies RoseKin GmbH ausdrücklich schriftlich bestätigt.
RoseKin GmbH behält sich vor, dass die AGB, die Liefer- und Zahlungsbedingungen sowie die Datenschutzbestimmungen jederzeit angepasst und ohne Ankündigung in Kraft gesetzt werden können.
Für die Vertragspartnerin bzw Vertragspartner gilt die zum Zeitpunkt des Bestellungseingangs gültige Version.
2. Informationen / Technische Angaben:
Die Website von RoseKin GmbH beinhaltet Informationen über Produkte und Dienstleistungen. Sortimentsänderungen sowie technische Änderungen bleiben vorbehalten. Alle Angaben wie Produktbeschreibungen, Abbildungen, Masse, Gewichte, technische Spezifikationen und andere Angaben sind nur als Näherungswerte zu verstehen. Sie stellen keine Zusicherung von Eigenschaften oder Garantien dar, ausser es ist explizit vermerkt.
RoseKin GmbH bemüht sich, sämtliche Angaben und Informationen korrekt, vollständig, aktuell bereitzustellen. RoseKin GmbH kann aber weder ausdrücklich noch stillschweigend dafür Gewähr leisten.
3. Allgemeines:
Sämtliche Angebote auf der Webseite von RoseKin GmbH gelten als freibleibend und sind nicht als verbindliche Offerte zu verstehen.
RoseKin GmbH kann keine Garantie abgeben, dass die aufgeführten Produkte zum Zeitpunkt der Bestellung verfügbar sind. Alle Angaben zu Verfügbarkeit und Lieferzeiten sind ohne Gewähr und können jederzeit ohne Ankündigung ändern.
4. Preise:
Alle Preisangaben sind unverbindlich, in Schweizer Franken (CHF) oder in Euro und inklusive der gesetzlichen MwSt. RoseKin GmbH kann jederzeit Preisänderungen vornehmen.
Bei Lieferungen ins Ausland gehen die Zollgebühren des jeweiligen Landes zu Lasten des Empfängers ( Bei Onlinsehop Kunden werden die Zollgebühren übernommen von RoseKin GmbH ).
5. Lieferung:
Die Lieferbedingungen der RoseKin GmbH sind im Bestellformular aufgeführt.
Die Bestellung wird mit der Post oder durch einen Kurierdienst ausgeliefert. Die Versandkosten werden zusätzlich verrechnet und sind durch den Kunden zu bezahlen. Die Lieferadresse in der Schweiz oder Liechtenstein muss mit dem LKW gut erreichbar sein. Sollte dies nicht der Fall sein, so trägt der Kunde die daraus resultierenden Kosten. Befindet sich die Vertragspartnerin bzw Vertragspartner in Zahlungsrückstand, kann die RoseKin GmbH weitere Lieferungen verweigern.
6. Zahlung:
Die Zahlungsbedingungen der RoseKin GmbH sind im Bestellformular aufgeführt.
Soweit nicht anders vereinbart, ist jede Rechnung innert 30 Tagen nach Rechnungserstellung zu begleichen. RoseKin GmbH behält sich das Recht vor, Kunden ohne Angabe von Gründen von einzelnen Zahlungsmöglichkeiten auszuschliessen oder auf Vorauskasse zu setzen.
Die Mahngebühr ab der zweiten Mahnung beträgt 20.- Franken. In diesem Fall kann für den geschuldeten Betrag ab Fälligkeit ein zusätzlicher effektiver Jahreszins von bis zu 15 % in Rechnung gestellt werden. Die mit dem Einzug der geschuldeten Beträge beauftragte Stelle fordert den Betrag im eigenen Namen und auf eigene Rechnung ein und kann zusätzliche Servicegebühren erheben
7. Eigentumsvorbehalt:
Bis zur vollständigen Bezahlung der gelieferten Ware bleibt die Ware Eigentum der Firma RoseKin GmbH.
8. Verfügbarkeit und Lieferfrist:
Die Bestellung wird in der Regel innerhalb von 4-14 Tagen ab Bestellungseingang zugestellt. Die RoseKin GmbH ist bestrebt, im Online-Shop aktuelle und genaue Angaben zur Verfügbarkeit und zu Lieferzeiten zu machen. Insbesondere durch Produktions- und Lieferengpässe kann es jedoch zu Lieferverzögerungen bei der RoseKin GmbH kommen. Daher sind alle Angaben zur Verfügbarkeit und zu den Lieferzeiten freibleibend. Sind ein oder mehrere Produkte bei der Bestellung nicht lieferbar, werden sie so schnell wie möglich zugestellt. Eine solche Verzögerung berechtigt jedoch nicht, vom Verkaufsvertrag zurückzutreten oder jegliche Schadenersatzansprüche geltend zu machen. Für Lieferverzögerungen wegen höherer Gewalt haftet die RoseKin GmbH nicht. Die RoseKin GmbH leistet Gewähr, dass die verkaufte Ware zum Zeitpunkt des Gefahrenüberganges keine Produktmängel aufweist.
9. Beanstandungen:
Der Kunde ist verpflichtet, die gelieferten Waren sofort nach Eingang der Lieferung zu prüfen.
Die RoseKin GmbH gewährt aus Gründen der Produktsicherheit kein Rückgaberecht. Rücksendungen bedürfen der vorgängigen schriftlichen Zustimmung von RoseKin GmbH.
Sollte beim Erhalt der Produkte dennoch ein Produktmangel festgestellt werden, ist die RoseKin GmbH innerhalb von drei Tagen schriftlich zu informieren. Die beanstandete Ware muss in Originalverpackung, inklusive Lieferschein und ausreichend frankiert an RoseKin GmbH retourniert werden.
Ergibt sich bei der Prüfung durch RoseKin GmbH, dass die Waren keine feststellbaren Mängel aufweisen oder diese nicht unter die Garantie des Herstellers fallen, kann RoseKin GmbH die Umtriebe, die Rücksendung oder die allfällige Entsorgung dem Kunden in Rechnung stellen.
Bei einem von RoseKin GmbH anerkannten Produktemangel hat RoseKin GmbH die Wahl, entweder die Ware zu ersetzen oder eine Gutschrift auszustellen. Weitergehende Ersatzansprüche, insbesondere für Schäden und Folgeschäden, die in Zusammenhang mit der Benutzung unserer Artikel entstehen können, sind, soweit gesetzlich zulässig, ausgeschlossen.
10. Gefahrenübergang:
Mit dem Versand gehen Nutzen und Gefahr auf den Kunden über, soweit dies gesetzlich zulässig ist.
11. Haftung:
RoseKin GmbH schliesst jede Haftung, unabhängig von ihrem Rechtsgrund, sowie Schadenersatzansprüche gegen RoseKin GmbH und allfällige Hilfspersonen und Erfüllungsgehilfen aus. RoseKin GmbH haftet insbesondere nicht für indirekte Schäden und Mangelfolgeschäden, entgangenen Gewinn oder sonstige Personen-, Sach- und reine Vermögensschäden des Kunden. Vorbehalten bleibt eine weitergehende zwingende gesetzliche Haftung, beispielsweise für grobe Fahrlässigkeit oder rechtswidrige Absicht.
12. Bildrechte, Warenzeichen und Markennamen:
Die Verwendung oder der Nachdruck von Bildern von RoseKin GmbH ist nur mit schriftlicher Genehmigung der RoseKin GmbH erlaubt. Die von der RoseKin GmbH vertriebenen Produkte dürfen nur in
Originalverpackung angeboten werden. Sie dürfen weder umgepackt noch ab- oder umgefüllt werden. Der Handel mit Wiederverkäufern ist nicht gestattet. Ein Verkauf in das Ausland bedarf der schriftlichen Zustimmung der RoseKin GmbH.
13. Datenschutz:
RoseKin GmbH darf die im Rahmen des Vertragsschlusses aufgenommenen Daten zur Erfüllung der Verpflichtungen aus dem Kaufvertrag verarbeiten und nutzen. Die zur Leistungserfüllung notwendigen Daten werden an beauftragte Dienstleistungspartner (Logistikpartner) oder sonstige Dritte weitergegeben. Ihre Personendaten werden in Übereinstimmung mit den in der Schweiz geltenden Datenschutzbestimmungen behandelt.
14. Gerichtsstand:
Im Falle von Streitigkeiten ober Betreibungen kommt ausschliesslich materielles Schweizer Recht unter Ausschluss von kollisionsrechtlichen Normen zur Anwendung. Der Gerichtsstand ist Zürich, soweit das Gesetz keine zwingenden Gerichtsstände vorsieht.
RoseKin GmbH hat indessen auch das Recht, den Besteller beim zuständigen Gericht seines Domizils oder bei jedem anderen zuständigen Gericht zu belangen.
Für alle Verkäufe gelten ausschliesslich diese Verkaufsbedingungen.

1. Acceptance of Terms:
By using our service, accessing the website, and ordering any items from us, you agree to be bound by these Terms and Conditions. The Terms and Conditions apply to all contracts, orders and other services between RoseKin GmbH, Richterswil, Switzerland (hereinafter referred to as RoseKin GmbH) and the contractual partners (to all users of the service, including without limitation users who are browsers, vendors, customers, merchants, contributors of content and /or whom has a business relationship with RoseKin GmbH).
If you do not agree to all the terms and conditions of these Terms, then you may not access the Service. Terms and Conditions of the customer that contradict these Terms and Conditions or deviate from a legal regulation shall only apply if RoseKin GmbH expressly confirms this in writing.
RoseKin GmbH reserve the right at any time to modify or discontinue the service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the service. The version valid at the time of receipt of the order shall apply to the contractual partner.

The website of RoseKin GmbH contains information about products and services. We reserve the right to make changes to the product range as well as technical changes. All information such as product descriptions, illustrations, dimensions, weights, technical specifications and other information are to be understood as approximate values only. They do not represent any assurance of properties or guarantees, unless it is explicitly noted.
RoseKin GmbH makes every effort to ensure that all details and information are correct, complete and up to date. However, RoseKin GmbH can neither explicitly nor implicitly guarantee this.
3. General Conditions
All offers on the website of RoseKin GmbH are subject to change and are not to be understood as a binding offer. We reserve the right to refuse service to anyone for any reason at any time.
RoseKin GmbH cannot guarantee that the listed products are available at the time of the order. All information on availability and delivery times are without guarantee and may change at any time without notice.
4. Prices:
All prices are non-binding, in Swiss francs (CHF) and Euro and include VAT in Switzerland/EU. RoseKin GmbH reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
For deliveries abroad, the customs duties of the respective country shall be borne by the recipient. ( RoseKin bears the cost of customs duties for Onlineshop order )
5. Delivery:
The delivery conditions of RoseKin GmbH are listed on the order form.
The order will be delivered by mail or by a courier service. The shipping costs are charged additionally and are to be paid by the customer. The delivery address in Switzerland or Liechtenstein must be easily accessible by truck. Should this not be the case, the customer shall bear any consequential costs. If the contract partner is in arrears with payment, RoseKin GmbH can refuse further deliveries.
6. Payment:
The terms of payment of RoseKin GmbH are listed on the order form.
Unless otherwise agreed, each invoice must be paid within 30 days of the invoice date. RoseKin GmbH reserves the right to exclude customers without giving reasons from individual payment options or to set on prepayment. The reminder fee from the second reminder is 20.- Swiss francs. Should the reminders be unsuccessful, the invoiced amount may be contracted to a collection agency. In such an event, an additional effective annual interest rate of up to 15% may be invoiced for the owed amount as from the due date of payment. The agency contracted with the collection of the owed amounts claims the amount on its own behalf and on its own account and may levy additional service charges.
7. Reservation of Proprietary Rights:
All ordered products remain the property of RoseKin GmbH until payment is received in full.
8. Availability and Delivery Time:
RoseKin GmbH is committed to providing up-to-date and precise information on availability and delivery times in the online shop. However, production and delivery shortages in particular may cause delivery delays for RoseKin GmbH. Therefore, all information on availability and delivery times is subject to change.The order is usually delivered within 4-14 days from receipt of order. If one or more products are not available when the order is placed, they will be delivered as soon as possible. However, such a delay does not entitle the customer to withdraw from the sales contract or to claim any damages. RoseKin GmbH is not liable for delays in delivery due to force majeure. RoseKin GmbH warrants that the goods sold do not have any product defects at the time of transfer of risk.
9. Returns:
The customer is obliged to inspect the delivered goods immediately upon receipt of the delivery.
Should a product defect nevertheless be detected upon receipt of the products, RoseKin GmbH must be informed in writing within three days. The rejected goods must be returned to RoseKin GmbH in the original packaging, including the delivery bill and with sufficient postage. Returns require the prior written consent of RoseKin GmbH.
If the inspection by RoseKin GmbH shows that the goods have no detectable defects or that they are not covered by the manufacturer’s warranty, RoseKin GmbH may charge the customer for the expenses, the return shipment or the possible disposal.
In case of a product defect recognized by RoseKin GmbH, RoseKin GmbH has the choice to either replace the goods or issue a credit note. Further claims for compensation, in particular for damages and consequential damages that may arise in connection with the use of our articles, are excluded to the extent permitted by law.
10. Transfer of Risk:
Benefit and risk shall pass to the customer upon shipment, to the extent permitted by law.
11 Liability:
The Site or documents sent with a Product, or the packaging or labelling of a Product may contain instructions for use, warnings, contra-indications and other notices. You must read and follow these notices carefully and ensure others who use the Products do so. Subject to the important liability statement, we will not be legally responsible to you if any of these are not observed.To the fullest extent allowed by applicable law, in no case shall RoseKin GmbH be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.
12. Intellectual Property Rights:
The Site, and all of its contents, including but not limited to articles, other text, photographs, images, illustrations, graphics, video material, audio material, including musical compositions and sound recordings, software, logos, titles, characters, names, graphics and button icons, excluding User Content (collectively “Proprietary Material”), are protected by copyright, trademark, international conventions and the laws of other countries. The Proprietary Material is owned or controlled by RoseKin GmbH.
Except as otherwise provided in these Terms of Use or without written permission by RoseKin GmbH, you may not, and agree that you will not, use, publish, reproduce, display, publicly perform, create derivative works from, reverse engineer or decompile, disassemble, distribute, license, transfer, sell, copy, post, enter into a database, upload, transmit or modify the Proprietary Material or any portion thereof, for any purpose or by any means, method, or process now known or later developed. Modification of the materials appearing on the Site or use of such materials for any other purpose is a violation of our copyright and other proprietary rights. The products sold by RoseKin GmbH may only be offered in their original packaging. They may neither be repackaged nor filled or decanted. Trade with resellers is not permitted. A sale to foreign countries requires the written consent of RoseKin GmbH.
13. Data Protection:
RoseKin GmbH may process and use the data recorded during the conclusion of the contract to fulfill the obligations arising from the purchase contract. The data necessary for the performance of services will be passed on to commissioned service partners (logistics partners) or other third parties. Your personal data will be treated in accordance with the data protection regulations applicable in Switzerland.
14. Jurisdiction:
In the event of disputes above debt collection, Swiss substantive law shall apply exclusively, to the exclusion of conflict-of-law rules. The place of jurisdiction shall be Zurich, unless the law provides for a mandatory place of jurisdiction.
RoseKin GmbH has the right to sue the customer at the competent court of his domicile or at any other competent court. All sales are exclusively subject to these terms and conditions of sale.
